These Terms govern your use of Q, the app for Mac, iPhone and other Apple devices; your QBase account at account.qbaseai.com; and the qbaseai.com website (together, the "Service"), provided by QBase AI LLC, a Texas limited liability company ("QBase AI", "we", "us"). By using the Service you agree to these Terms. A service we provide under a separate written agreement, such as an engagement letter, is governed by that agreement where it differs from these Terms.
1. Your account
You must be at least 18 years old. If you use the Service for a business, you confirm that you may accept these Terms for it. You are responsible for the devices and accounts you use with the Service and for keeping them secure. If you connect another account, such as a Google account, you confirm that you are entitled to give Q the access you give it.
2. What Q does
Q is an AI assistant that works on your own records. It reads what you give it, answers questions, drafts, and uses the tools you allow. A tool is off until you turn it on, and for each tool you choose whether Q must wait for your approval. Every tool Q uses and every action it takes is written to a record kept on your devices.
How Q handles your information, including information from Google, is set out in the Privacy Policy.
3. When Q acts for you
When you approve an action, set a tool to run without asking, or schedule a motion, Q acts on your instruction. You are responsible for what Q does under the settings you chose, including messages sent and changes made in services you connected.
4. Your content
You own what you bring into Q and what you make with it, including documents, conversations, captures and records drawn from your connected services. It stays on your devices and in your own iCloud account. QBase AI claims no ownership of it and does not use it to train AI models.
You are responsible for having the right to use any content you add, and for its lawfulness.
5. AI output
What Q produces is generated by an AI model and may be wrong, incomplete or out of date. Review it before you rely on it. Nothing the Service produces is legal, financial, medical or employment advice.
6. Capture and recording
Capture records what is said around you. In some places you need people's permission to record them. Getting that permission, and following the law where you record, is up to you.
7. Acceptable use
You may not use the Service to:
- break any law or anyone else's rights;
- send unsolicited messages, or collect data from another service in breach of its terms;
- try to reach accounts, devices or data that are not yours;
- interfere with the Service or get round its controls;
- resell or sublicense the Service without a written agreement with us.
8. Connected and third-party services
Q connects to services you choose, such as Google, and to an AI model service. Apple provides iCloud and the Keychain under your own Apple account. Each of these has its own terms, and your use of it is governed by those terms. We are not responsible for services we do not operate.
Use of Google user data is subject to the Google API Services User Data Policy, including the Limited Use requirements, as described in the Privacy Policy.
9. Software licence and updates
We grant you a personal, non-exclusive, non-transferable licence to install and use Q on devices you control, up to the number your plan allows, subject to these Terms. You may not reverse engineer, decompile or redistribute Q, except where the law allows it regardless of this restriction.
Q tells you when an update is available. Some updates are required to keep using the Service.
10. Plans, allowance and fees
The price of a paid plan is the price shown to you when you buy it, and nothing is charged until you have agreed to it.
A paid plan renews at the end of each period until you cancel. You can cancel at any time, and the plan runs to the end of the period already paid for.
We may change our prices. A change applies to you from your next renewal, and we will email the address on your account before that renewal so you can cancel first.
A discount or promotion runs on the terms stated with the offer. When it ends, the regular price shown at that time applies.
Your plan includes an allowance of AI use for each period, shown in Q with the date it resets. Allowance that comes with a plan does not carry into the next period. When a period's allowance is used up, Q's requests to the AI model stop until it resets. If you set Q to use a model service of your own, its charges are between you and that service.
11. Ending
You may stop using the Service at any time. You can disconnect services, erase Q's data from your devices and ask us to delete your account, as the Privacy Policy describes. We may suspend or end your access if you breach these Terms, or if we discontinue the Service, in which case we will give reasonable notice. Your work stays on your devices either way.
12. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, QBase AI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or free of error.
13. Limitation of liability
To the fullest extent permitted by law, QBase AI will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or opportunities, arising from your use of the Service. Our total liability for any claim arising from the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.
14. Indemnity
You will defend and indemnify QBase AI against claims arising from your content, from what Q did on your instruction, or from your breach of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.
16. Changes
We may update these Terms. We will post the new version on this page and update the effective date, and for a material change we will email the address on your account at least 14 days before it takes effect. Continued use after that date is acceptance.
